1. Introduction
These Terms and Conditions govern the use of Alpacap's services by Franchisors. By accessing or using our platform, you agree to comply with these terms.
2. Services Provided
Alpacap provides Franchisors with:
- An overview of all relevant franchisees’ financial performance.
- Tools to identify underperforming branches and high performers.
- Features to facilitate targeted assistance and foster growth.
3. Responsibilities of the Franchisor
As a Franchisor, you agree to:
- Provide Accurate Franchisee Data: Ensure the list of franchisees in your network is accurate and up-to-date.
- Franchisee Status: Confirm that all listed franchisees are either onboarded or in the early stages of onboarding by you.
- Prompt Updates: Inform Alpacap promptly about new franchisees joining your network to ensure timely inclusion in reports and benchmarks
- Notification of Franchisee Departure: Notify Alpacap immediately when a franchisee leaves your network to ensure exclusion from future reporting to you.
- Acknowledge the Impact of Data Accuracy: Understand that failing to provide accurate franchisee information may affect the quality and reliability of benchmarks and recommendations provided by Alpacap.
4. Data Usage and Privacy
4.1. Data Processing by Alpacap
Alpacap reserves the right to partially anonymize, aggregate, or otherwise obfuscate franchisee data that is not deemed relevant to the franchisor-franchisee relationship or falls outside the scope of services provided.
4.2. Exclusion of Data
Alpacap reserves the right to exclude data from reports at the explicit request of a franchisee exercising their rights under Alpacap’s Privacy Policy. In such cases, Alpacap will notify the Franchisor promptly that the data provided has been affected due to the franchisee’s exercise of their GDPR rights.
4.3. Data Quality Commitment
Subject to the above conditions, Alpacap will strive to provide data on individual franchisee financial activities, as well as performance rankings for every branch within the franchise network.
5. Limitation of Liability
- Insights and Decisions: Alpacap is not liable for any business decisions made based on the insights or recommendations provided through the platform.
- Data Accuracy: Alpacap relies on the data provided by the Franchisor and is not responsible for inaccuracies arising from incomplete or outdated data.
- Liability Cap: To the maximum extent permitted by law, Alpacap’s liability is limited to the fees paid by the Franchisor for the Services in the preceding 12 months.
6. Termination
Alpacap reserves the right to suspend or terminate access to the platform if these terms are breached, including the failure to provide accurate franchisee information.
7. Governing Law
This agreement shall be governed by and construed in accordance with the laws of Englandand Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of Englandand Wales.
